1. Welcome to Palandy
Palandy Inc., a Delaware corporation (“Palandy,” “we,” “us,” “our”) operates palandy.com and related services (the “Service”) that help neighbors find and offer help with everyday tasks within their local community.
These Terms of Service (“Terms”) are a binding agreement between you and Palandy. You accept these Terms by an affirmative action when you create an account (such as checking the acceptance box presented at signup), or by accessing or using the Service. We record your acceptance — your account, the version of these Terms, and a timestamp — as your electronic signature under the federal E-SIGN Act. By using the Service you also consent to transact with Palandy electronically and to receive agreements, records, and notices electronically. You may request a paper copy or withdraw this consent by contacting support@palandy.com, but the Service cannot operate without electronic records, so withdrawing consent means closing your account. If you don't agree, please don't use the Service.
These are account-level Terms — the general rules for being on Palandy. Some specific tasks or task categories may require you to accept additional, task-specific termsat the time you take them on. Those task-specific terms add to (and don't replace) these Terms. See Section 13.
2. What Palandy is — and what it is not
Palandy is a facilitator, not a party to your arrangements. We are a neighborhood noticeboard and introduction service. We help neighbors discover each other and connect about tasks. That is all we do.
When two neighbors agree to help each other through Palandy, that agreement is strictly between them. Palandy is not a party to it. Specifically, Palandy is not:
- a party to any agreement, arrangement, or transaction between users;
- an employer, employee, agent, staffing agency, contractor, or business partner of any user;
- a broker, dealer, escrow agent, or payment processor;
- a guarantor, insurer, or warrantor of any task, person, outcome, payment, or item.
No employment, agency, partnership, or joint-venture relationship is created between you and Palandy, or between you and any other user, by these Terms or by your use of the Service.
Neighbors helping neighbors. Palandy is designed for genuine community help between people who live near one another — not for running a business, an employment relationship, or a commercial gig operation. You and the other user decide entirely between yourselves what gets done, when, how, and on what terms (including any money or trade — see Section 4).
3. Palandy is free
Palandy is free to use.We don't charge you to create an account, browse, post a task, respond to one, or connect with a neighbor.
4. Money never moves through Palandy
This is important, so we'll be direct: Palandy does not handle money.
- Palandy does not process, collect, hold, escrow, transfer, or refund any payment.
- Palandy does not take a cut, commission, or fee from anything you and a neighbor arrange.
- If a task involves payment, a trade, reimbursement, or any exchange of value, that happens directly between you and the other neighbor, on terms the two of you set, using whatever method you both choose. Palandy is not involved and has no visibility into or responsibility for it.
Because no money passes through Palandy, we cannot and do not offer refunds, payment protection, chargebacks, guarantees, or any financial recourse if a task or exchange goes wrong. Any money question is strictly between you and the other neighbor.
5. Who can use Palandy
To use Palandy you must:
- be at least 18 years old. Palandy is for adults: you may not create an account if you are under 18, and when you create an account you confirm that you are 18 or older. (Someone under 18 may be the subject of a task — for example, a tutoring or music-lesson learner — only where task-specific terms allow it, with a parent or guardian holding the account and making the arrangement.);
- be able to form a binding contract;
- live in or near a community Palandy serves (currently the United States); and
- not be barred from using the Service under applicable law or previously removed by us.
You're responsible for everything that happens under your account. Keep your login secure and let us know promptly if you suspect unauthorized use.
6. Your responsibilities
You agree to use Palandy honestly, safely, and lawfully. In particular, you agree to:
Be truthful.Provide accurate information about yourself and the tasks you post or accept. Don't impersonate anyone or misrepresent your skills, qualifications, or identity.
Use your own judgment about other people. Palandy does notverify, vet, screen, background-check, endorse, or supervise any user. We don't confirm anyone's identity, skills, qualifications, licensing, or trustworthiness. We also don't verify where anyone lives or how close they actually are — locations are self-reportedby users, and the distance, area, or “neighbor” designation shown is based on the approximate location each person enters, not on any verification by us. Anyone could enter an inaccurate location. You are solely responsible for deciding whether to interact with, meet, or rely on another neighbor, and for taking sensible precautions — especially when meeting someone in person for the first time, entering a home, or handling anything valuable.
Categories are user-chosen, not verified.The task category or skill label a neighbor selects is chosen by that neighbor. Palandy does not verify, confirm, or guarantee that a task actually matches the category it's posted under, or that its title or description is accurate. Judge the actual task in front of you — its real description, scope, and risks — and use your own judgment, not the category label, when deciding whether to take it on.
Off-purpose and miscategorized use is on the users.If a neighbor posts a task in the wrong category, mislabels it, or uses the Service for something other than what a category is intended for — and you choose to engage based on the task's content or title anyway — that decision and anything that results from it are strictly between you and the other neighbor. Palandy is not responsible for tasks that don't match their category, are used outside their intended purpose, or are misrepresented by the neighbor who posted them.
Follow the law and handle your own obligations. You are responsible for complying with all laws that apply to what you do through Palandy — including any licensing, permit, insurance, tax, or written-contract requirements that may apply to a particular task in your state or city. Palandy does not provide, and is not responsible for, any of these.
Handle dangerous, regulated, or specialized tasks responsibly. Don't use Palandy to arrange anything illegal, or any task you're not competent or legally permitted to perform. Some tasks (e.g., electrical, plumbing, medical, childcare, transport, anything requiring a license) may carry legal requirements or real safety risk — that's on you and the neighbor to handle correctly.
Respect other people.No harassment, threats, discrimination, hate, stalking, fraud, spam, or abuse. No collecting or misusing other users' information.
Don't misuse the platform. No scraping, hacking, reverse-engineering, overwhelming our systems, or using Palandy to send unsolicited commercial messages.
You're also responsible for any content you post (task descriptions, messages, bio, ratings). Don't post anything unlawful, infringing, deceptive, or that you don't have the right to share.
7. Safety — your judgment, your responsibility
Palandy is a tool for connecting; it is not a safety service.
- We do not screen, background-check, or vet users, content, or tasks.
- We do notverify anyone's identity or where they live; locations are self-reported, and proximity shown to you is not confirmed by us.
- We do not guarantee that any user is who they claim to be, that any task will be done well (or at all), or that any interaction will be safe, lawful, or satisfactory.
- Meeting and helping people in your community carries real-world risk. You assume that risk.Trust your instincts, meet safely, and don't do anything you're not comfortable with.
8. Disputes between neighbors — reputation-based, not refunds
Because Palandy handles no money and is not a party to your arrangements, we do not adjudicate, mediate enforceable outcomes, issue refunds, award damages, or run arbitration between neighbors. We have no power to make anyone pay, redo work, or return an item.
What we do offer is a reputation system:
- After a task, neighbors can rate and revieweach other. These ratings build each user's reputation over time and help the community make better choices.
- Palandy (currently the founder) may moderate the community — for example, reviewing reports, removing content that violates these Terms, and suspending or removing users who behave badly or game the rating system.
- Moderation decisions are made at our reasonable discretion. We aren't obligated to investigate every dispute, and our moderation is not a legal judgment, a guarantee, or a substitute for your own legal remedies.
If you have a genuine legal dispute with another neighbor, that is between the two of you and, if necessary, the courts. Palandy is not involved and is not liable for it (see Sections 9–10).
9. No guarantees — the Service is provided "as is"
To the fullest extent permitted by law, the Service is provided “as is” and “as available,” with all faults and without warranties of any kind.
We specifically make no warranty or guarantee that:
- any neighbor, task, item, skill, or qualification is genuine, accurate, safe, legal, or as described;
- any task will be accepted, completed, completed well, or completed at all;
- any payment, trade, or promise between neighbors will be honored;
- the Service will be uninterrupted, secure, error-free, or available at any particular time.
We disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement, to the extent permitted by law. Some jurisdictions don't allow certain disclaimers, so some of the above may not apply to you.
10. Limitation of liability
To the fullest extent permitted by law:
- Palandy is not liable for the acts, omissions, conduct, content, or arrangements of any user or third party, including any injury, loss, damage, theft, fraud, non-payment, poor work, property damage, or dispute arising from any task, meeting, or exchange between neighbors.
- Palandy is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or substitute services, arising out of or relating to the Service or these Terms.
- Because the Service is free and no money passes through Palandy, to the extent Palandy is ever found liable despite the above, our total aggregate liability to you for any and all claims will not exceed one hundred U.S. dollars (US $100).
Some jurisdictions don't allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law (for example, certain claims for gross negligence, fraud, or intentional misconduct).
11. Indemnification
You agree to indemnify and hold harmless Palandy and its operators from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) any task, meeting, exchange, or arrangement you enter into with another neighbor; (c) your content; (d) your violation of these Terms; or (e) your violation of any law or the rights of any third party.
12. Accounts, suspension, and termination
You can stop using Palandy and close your account at any time.
We may suspend, restrict, or terminate your account or access — with or without notice — if we reasonably believe you've violated these Terms, created risk or harm to others or to Palandy, or if we need to for legal or operational reasons. We may also discontinue the Service or any part of it.
Sections that by their nature should survive termination (including Sections 2, 4, 8, 9, 10, 11, 13, 14, 15, 16, 17, and 18) will survive.
13. Task-specific terms
Some tasks or task categories may require you to review and accept additional task-specific terms before you take them on. These are presented at that time and accepted by an affirmative action— for example, clicking “I agree” when you add a skill to your profile or post a task in that category. We record each acceptance with your account, the version of those terms, and a timestamp, as your electronic signature under the federal E-SIGN Act. Removing a skill from your profile withdraws your consent for future tasks in that category without affecting arrangements already made. Those terms address the particulars of that kind of task and are part of your agreement with us for that task. If task-specific terms ever conflict with these account-level Terms, the task-specific terms control for that task only. These account-level Terms govern everything else.
Whether a task requires task-specific terms depends on the category the posting neighbor selects, and Palandy does not verify that a task is filed in the correct category. If a task that would otherwise fall under a category with task-specific terms is instead posted or accepted under a different category, those task-specific terms are not triggered — but your account-level Terms, including all disclaimers, the assumption of risk, and the limitations in Sections 6, 7, 9, 10, and 11, apply in full to that task regardless of how it was categorized. Miscategorization by a neighbor does not create any obligation or liability for Palandy.
14. Beta — the Service will change
Palandy is in beta / early access. That means:
- the Service is evolving, may contain bugs, and may change, pause, or be discontinued at any time;
- features may be added, removed, or altered without notice;
- the Service is offered as is, with no guarantee of availability, performance, or data retention.
We appreciate your patience and feedback as we build.
15. Disputes with Palandy — arbitration and class-action waiver
15.1 Informal resolution first
If you have a dispute with Palandy, please contact us first at support@palandy.com and give us 30 days to try to resolve it informally. Most issues can be sorted out this way.
15.2 Agreement to arbitrate
If we can't resolve it informally, you and Palandy agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, rather than in court — except as stated in Section 15.5. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and may take place in your home state or by phone/video where the rules allow. The arbitrator decides all issues, except that a court decides questions about the scope or enforceability of this arbitration agreement.
15.3 Class-action and jury-trial waiver
To the fullest extent permitted by law, you and Palandy agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class proceeding. You and Palandy also waive any right to a jury trial.
15.4 30-day right to opt out
You can opt out of this arbitration agreement (Sections 15.2–15.3). To opt out, send written notice to support@palandy.com within 30 daysof first accepting these Terms (or within 30 days of a material change to this section), stating your name and that you opt out of arbitration. Opting out won't affect any other part of these Terms, and it won't disadvantage you in any way.
15.5 Exceptions
Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court to stop infringement or misuse of intellectual property or the Service. Nothing here waives any right that cannot be waived by law.
15.6 Severability
If the class-action/representative waiver in Section 15.3 is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court; the rest of this Section 15 still applies.
15.7 Changes to this section
If we materially change Section 15 in the future, you'll have a fresh 30-day window to opt out as described in Section 15.4.
16. Governing law, changes, and how to reach us
Governing law.These Terms, and any dispute between you and Palandy, are governed by the Federal Arbitration Act (as to Section 15) and the laws of the State of New Jersey, without regard to conflict-of-laws rules. Where Section 15 doesn't apply, the exclusive venue for any permitted court action is the state or federal courts located in New Jersey.
Changes to these Terms.We may update these Terms as Palandy grows. If we make material changes, we'll take reasonable steps to let you know (for example, by posting the new Terms with an updated date or notifying you in the app). Your continued use after changes take effect means you accept the updated Terms.

17. Your content and Palandy's IP
Your content stays yours. You own the content you post on Palandy (tasks, messages, profile, ratings, reviews). So that we can operate the Service, you grant Palandy a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your content as needed to run, secure, and improve the Service— for example, showing your task to nearby neighbors, or displaying your review on another user's profile. This license ends when you delete the content or close your account, except that (a) ratings and reviews may be retained in de-identifiedform to keep the community's reputation history honest (see our Privacy Policy), and (b) we may retain content as required for legal, safety, or abuse-prevention purposes.
Feedback.If you send us ideas or suggestions, we can use them without restriction or obligation to you — that's the simplest way to let your feedback make Palandy better.
Palandy's IP.The Palandy name, logo, design, and the Service itself belong to Palandy. These Terms give you a personal, non-transferable right to use the Service; they don't give you any right to use our name, brand, or code outside of it.
Infringement complaints. If you believe content on Palandy infringes your copyright or other rights, write to support@palandy.com with the details; we review and act on legitimate notices.
18. General terms
Severability.If any provision of these Terms is held invalid or unenforceable, that provision is modified to the minimum extent necessary (or severed if it can't be saved), and the rest of these Terms remain in full force.
Entire agreement. These Terms, the Privacy Policy, and any task-specific terms you accept (Section 13) are the entire agreement between you and Palandy about the Service, and replace any prior understandings.
Assignment. You may not assign or transfer these Terms or your account. Palandy may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets (see also the Privacy Policy on business transfers).
No waiver.If we don't enforce a provision, that's not a waiver — we can enforce it later.
Notices. We give notices electronically — in the app or to the email on your account (see Section 1, electronic-records consent).
